Terms of Service
Last updated: June 2026These Terms of Service (“Terms”) govern your use of clarityintel.io and all services provided by ClarityIntel (“we,” “us,” “our”). By using our services, you agree to these Terms.
1. Services
ClarityIntel provides custom software development, automation, AI tools, data analysis, web development, and related technical services (“Services”) to business and individual clients.
All Services are delivered on a project basis with fixed pricing agreed upon before work begins, or on a subscription basis as described on our pricing page.
2. Project Agreements
Scope
Each project begins with a written scope confirmation delivered via email or through the client portal. Work begins only after scope and price are confirmed by both parties.
Fixed Pricing
The price quoted for a project is fixed and will not change unless the scope changes materially. We will notify you of any scope change and obtain your approval before proceeding with additional work.
Delivery
We will provide a delivery date with each project confirmation. We make reasonable efforts to meet all delivery dates. If we anticipate a delay, we will notify you promptly.
Revisions
Every project includes three (3) rounds of revisions at no additional charge. A revision round consists of: (a) you provide written feedback, (b) we implement the requested changes, (c) we deliver the revised version. Revisions apply to adjustments within the original scope. New features or material scope changes are treated as new projects and quoted separately.
Acceptance
Deliverables are considered accepted if you do not provide written feedback within 14 days of delivery. The 14-day support window begins upon delivery.
3. Payment
Timing
Payment is due at the time of project approval, before work begins. Subscription payments are charged on a recurring basis as described at the time of subscription.
Method
We accept payment via credit and debit card through Stripe. By providing payment information, you authorize us to charge the agreed amount.
Refunds
Due to the custom nature of our work, we do not offer refunds once work has begun. If you are not satisfied with a deliverable, we will work with you through the revision process to resolve the issue. If we are unable to deliver a functional solution after three revision rounds, we will discuss remedies on a case-by-case basis.
Subscriptions
Subscription services renew automatically on a monthly basis. You may cancel at any time through the client portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial subscription periods.
4. Intellectual Property
Deliverables
Upon receipt of full payment, you own all intellectual property rights to the custom code, scripts, reports, and other deliverables we create specifically for your project.
Our Tools
We retain ownership of our internal tools, frameworks, templates, and processes used to create deliverables. Ownership of deliverables does not include ownership of our underlying execution infrastructure.
Your Materials
You retain all rights to data, content, and materials you provide to us. By providing materials, you grant us a limited license to use them solely for the purpose of completing your project.
Third-Party Components
Some deliverables may include open-source libraries or third-party components. We will identify any such components and their licenses. Your use of those components is subject to their respective licenses.
5. Confidentiality
We treat all client project information as confidential. We will not disclose your business information, project details, or data to any third party except as necessary to provide the Services (Stripe for payments, Mailgun for email delivery).
Upon request, we will sign a Non-Disclosure Agreement (NDA) before scoping begins for projects involving sensitive information.
6. Client Responsibilities
You agree to:
- Provide accurate and complete project requirements
- Respond to clarifying questions in a timely manner
- Provide necessary access, credentials, or materials required for the project
- Review deliverables and provide feedback within the revision window
- Use deliverables in compliance with all applicable laws
7. Prohibited Uses
You may not use our Services to:
- Build tools designed to harm, harass, or illegally surveil individuals
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of others
- Create malware, spyware, or tools designed to compromise computer security
- Scrape, collect, or process data in violation of applicable terms of service or privacy laws
We reserve the right to refuse or terminate any project that we determine, in our sole discretion, violates these prohibitions.
8. Warranties and Disclaimers
We warrant that deliverables will materially conform to the agreed scope at the time of delivery. We do not warrant that deliverables will be error-free under all conditions or that they will meet requirements not specified in the project scope.

You agree to indemnify and hold harmless ClarityIntel from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of our Services, your violation of these Terms, or your violation of any third-party rights.
11. Termination
Either party may terminate a project engagement with written notice. If you terminate before delivery, you are responsible for payment proportional to work completed. If we terminate due to your breach of these Terms, no refund will be issued for work already completed.
We reserve the right to suspend or terminate your account for violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of King County, Washington.
13. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated to registered clients via email. Continued use of our Services after changes constitutes acceptance of the updated Terms.
